Terms of Service

Welcome to Aura. These Terms of Service ("Terms") govern your access to and use of the Aura mobile application and related services (collectively, the "Service") provided by Aura Bionics Inc. ("Aura Bionics", "we", "our", "us"), a company incorporated in Ontario, Canada.

By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Aura Bionics provides a wellness and lifestyle technology experience intended for informational and educational purposes only. Aura Bionics does not provide medical advice, diagnosis, treatment, or health assessments. Scan results and AI companion insights are reflections based on visual and behavioral patterns, not clinical evaluations.

Always seek the advice of a qualified healthcare professional regarding medical concerns. If you are experiencing a mental health crisis or emergency, please contact local emergency services or a crisis helpline immediately. Aura is not a substitute for professional mental health support.


1. Eligibility

To use the Service, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, if higher)
  • Have the legal capacity to enter into a binding contract
  • Not be barred from using the Service under applicable law
  • Not be a person with whom transactions are prohibited under applicable sanctions laws

While Aura itself contains no graphic, violent, or sexually explicit content, the app is built around adult wellness themes (including romantic relationship support in the Inner Circle feature, subscription payments, and emotionally nuanced AI companion interactions) that are best suited for adults.

By using the Service, you represent and warrant that you meet all eligibility requirements. If we discover that you are under 18, we will suspend your account and delete associated data.


2. Access to the Service

Access to the Service is provided on an "as-is" and "as-available" basis. We reserve the right to:

  • Modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice
  • Refuse service to anyone at our discretion
  • Suspend or terminate access if we identify misuse, security risks, fraudulent activity, or violations of these Terms

3. Account Creation

Aura uses anonymous authentication by default: you do not need to provide personal information to create an account. However:

  • You are responsible for any activity that occurs under your account
  • You must not attempt to access another user's account or impersonate another person
  • You must not create multiple accounts to circumvent restrictions, subscriptions, or bans
  • You must not share your account credentials with others

If you provide additional information (name, persona preferences, Inner Circle connections), you represent that this information is accurate and that you have the right to share it.


4. Use of the Service

4.1 Permitted Use

The Service is provided for your personal, non-commercial use only. You may use the Service to:

  • Perform facial scans for personal wellness insights
  • Engage in conversations with your AI companion (Eva or Atlas)
  • Participate in the Inner Circle with your chosen connections
  • Access AI-generated wellness reflections and suggestions

4.2 AI-Generated Content Disclaimer

Aura uses artificial intelligence to provide wellness insights and companion conversations. You understand and agree that:

  • AI outputs may be inaccurate, incomplete, or unexpected. AI does not always produce correct or reliable results.
  • AI insights are not a substitute for professional advice (medical, psychological, financial, legal, or otherwise).
  • You should not rely on AI-generated content to make significant life decisions without independent verification.
  • AI responses are generated based on patterns and may occasionally produce content that is inappropriate, irrelevant, or incorrect.

We continuously work to improve AI quality but cannot guarantee specific outcomes or accuracy.


5. Acceptable Use Policy

You agree NOT to use the Service to:

Against other people:
- Scan faces of other individuals without their explicit consent
- Upload images or content featuring minors (under 18)
- Harass, stalk, threaten, or harm any other user through the Inner Circle or any other feature
- Impersonate another person or create accounts using false information
- Share content that is defamatory, discriminatory, hateful, or violent

Against the Service:
- Reverse engineer, decompile, disassemble, or attempt to extract the source code
- Use automated tools, bots, or scripts to interact with the Service
- Attempt to bypass subscription requirements, paywalls, or age verification
- Modify the app, create derivative works, or distribute modified versions
- Interfere with the security or integrity of the Service (e.g., vulnerability testing without authorization)
- Use the Service in a way that could disable, overburden, or impair it

Against AI features:
- Attempt to manipulate the AI into producing harmful, illegal, or inappropriate content
- Use scan features to claim or imply medical diagnosis
- Share AI-generated content out of context in a misleading manner

Against platform terms:
- Violate the terms of Apple App Store, Google Play Store, or any other platform through which you access the Service
- Engage in any illegal activity through the Service
- Attempt to commit fraud (including subscription fraud, chargeback fraud, or payment fraud)

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, without refund.


6. User Content and Intellectual Property

6.1 Your Content

You retain ownership of content you create or share within the Service ("User Content"), including:
- Messages you send in Inner Circle chats
- Personal information you share in your profile (name, preferences)
- Scan images you choose to retain in your Photo Journey

6.2 License You Grant Us

By using the Service, you grant Aura Bionics a limited, non-exclusive, worldwide, royalty-free license to:
- Store, process, and display your User Content as needed to provide the Service to you
- Share general wellness signals (not conversation content) with your consented Inner Circle connections through the Harmony Engine
- Use anonymized, aggregated data to improve the Service

This license ends when you delete your content or account (subject to data retention requirements in our Privacy Policy).

6.3 AI-Generated Content

Outputs generated by the AI companion (Eva/Atlas conversations, wellness insights, Harmony Engine suggestions) are provided to you for your personal use. You may share these outputs with others in casual personal contexts. However:

  • You may not use AI-generated content for commercial purposes (e.g., reselling Aura insights, using them in your own paid product)
  • You may not misrepresent AI content as human-authored professional advice
  • Aura Bionics retains the right to adjust or discontinue AI features at any time

6.4 Our Intellectual Property

All content, software, design, branding, logos, trademarks, and system logic associated with Aura Bionics (including the "Aura," "Eva," "Atlas," "Inner Circle," and "Harmony Engine" names and concepts) are the exclusive property of Aura Bionics Inc. Unauthorized copying, modification, distribution, reverse engineering, or creation of derivative works is prohibited and may violate intellectual property laws.


7. Inner Circle and Harmony Engine

7.1 Inner Circle

Inner Circle allows you to invite designated connections to share a private wellness space. By using Inner Circle, you agree that:

  • Invitations require explicit acceptance by the recipient
  • Both parties can end the connection at any time
  • Messages are stored securely but are not end-to-end encrypted
  • You are responsible for the people you invite

7.2 Harmony Engine

With your explicit consent (and the consent of your connection), the Harmony Engine may share general wellness signals (e.g., overall mood or energy state) between connections. This consent:

  • Must be given by both parties before activation
  • Can be revoked at any time through app settings
  • Does not share the content of your conversations or private messages
  • Does not share specific health data, diagnoses, or sensitive biometric details

8. Subscriptions and Payments

8.1 Subscription Tiers

Aura offers subscription plans (monthly and annual). Subscription details, pricing, and features are displayed in the app before purchase.

8.2 Free Trial

New subscribers may be eligible for a 7-day free trial. By starting a free trial:

  • You acknowledge that your subscription will automatically convert to a paid subscription at the end of the trial period unless cancelled beforehand
  • You will be charged the then-current subscription price at the end of the trial
  • Cancellation must occur at least 24 hours before the trial ends to avoid charges

8.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled at least 24 hours before the renewal date. By subscribing, you authorize Aura Bionics (and the platform: Apple or Google) to charge your payment method on a recurring basis.

8.4 Cancellation

You can cancel your subscription at any time through:

  • iOS: Settings → [Your Name] → Subscriptions → Aura → Cancel Subscription
  • Android: Google Play Store → Subscriptions → Aura → Cancel Subscription

Cancellation takes effect at the end of the current billing period. You will continue to have access to subscription features until then. No partial refunds are provided for unused time.

8.5 Refunds

Subscription fees are non-refundable except as required by applicable law. Refund requests are handled by the platform through which you purchased:

Aura Bionics does not store payment information and cannot issue refunds directly. Consumer protection laws in your jurisdiction (e.g., EU, UK, Brazil) may provide additional refund rights.

8.6 Price Changes

We may change subscription prices with at least 30 days' notice to active subscribers. Continued use after the price change takes effect constitutes acceptance of the new price. If you disagree, you may cancel before the change takes effect.

8.7 Taxes

Subscription prices may be exclusive of applicable taxes (VAT, GST, HST, sales tax). Tax rates depend on your jurisdiction and are determined by the app store platform at the time of purchase.


9. Third-Party Services

The Service uses third-party providers to deliver its features, including Firebase (Google), Anthropic, OpenAI, ElevenLabs, fal.ai, and RevenueCat. Details of data sharing with these providers are described in our Privacy Policy.

The Service may also include links to third-party websites. We are not responsible for the content, accuracy, or practices of third-party sites. Your interactions with third-party services are governed by their own terms.


10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy of AI-generated content
  • Uninterrupted or error-free operation
  • Security of data transmission

We do not warrant that the Service will meet your requirements, operate without interruption, be error-free, or that defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not apply to you in full. Where legally required, we provide the minimum warranties required by law.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AURA BIONICS INC., ITS OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from your use or inability to use the Service
  • Damages resulting from AI-generated content or wellness insights
  • Damages resulting from unauthorized access to or alteration of your data
  • Damages resulting from any third-party conduct or content on the Service

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of:
- (a) the amount you paid us in the 12 months preceding the claim, or
- (b) USD $50

This limitation applies regardless of the legal theory (contract, tort, negligence, etc.) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation of certain damages, so the above limitations may not apply to you in full. Where limitation is prohibited, our liability is limited to the maximum extent permitted by law.


12. Indemnification

You agree to defend, indemnify, and hold harmless Aura Bionics Inc., its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any third-party right (including intellectual property, privacy, or publicity rights)
  • Your User Content
  • Your violation of applicable law
  • Your fraudulent activity or misrepresentation

We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with our defense.


13. Termination

13.1 Termination by You

You may stop using the Service at any time. To delete your account and all associated data, use the in-app delete option or visit: https://www.aurabionics.com/delete-account/

13.2 Termination by Us

We may suspend or terminate your access to the Service (with or without notice) if:

  • You violate these Terms or the Acceptable Use Policy
  • Your activity creates legal or security risks
  • You engage in fraud, abuse, or misuse of the Service
  • Required by law or legal process
  • We discontinue the Service

13.3 Effect of Termination

Upon termination:
- Your right to use the Service ends immediately
- We may delete your account data (subject to retention requirements in our Privacy Policy)
- Subscription fees already paid are non-refundable (except as required by law)
- Provisions of these Terms that should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will remain in effect


14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal claim, you agree to first attempt to resolve any dispute informally by contacting us at info@aurabionics.com. We will attempt to resolve disputes in good faith within 30 days of receiving your written notice.

14.2 Formal Resolution

If informal resolution is not successful within 30 days, disputes shall be resolved by the courts located in the Province of Ontario, Canada, which shall have exclusive jurisdiction, unless otherwise required by applicable consumer protection law in your jurisdiction.

14.3 Consumer Protection Rights

Nothing in these Terms limits your rights as a consumer under applicable law. If you are a consumer in the EU, UK, Brazil, or another jurisdiction with strong consumer protections, you may have additional dispute resolution options (e.g., local small claims courts).


15. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles, except as consumer protection laws of your jurisdiction apply.


16. Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including:

  • Natural disasters (earthquakes, floods, fires)
  • War, terrorism, civil unrest
  • Pandemics or public health emergencies
  • Government actions, sanctions, or legal restrictions
  • Failures of the internet, telecommunications, or cloud infrastructure
  • Third-party service outages (e.g., AI providers, cloud hosting)

17. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, features, or legal requirements. Material changes will be communicated through:

  • In-app notification
  • Email (for registered users)
  • The updated "Last Updated" date at the top of these Terms

Continued use of the Service after an update constitutes acceptance of the revised Terms. If you disagree with changes, you must stop using the Service and may delete your account.


18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Aura Bionics Inc. regarding the Service. These Terms supersede any prior agreements or understandings, whether written or oral.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced with an enforceable provision that most closely reflects the original intent.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right. A waiver is only effective if provided in writing by an authorized representative of Aura Bionics Inc.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.

18.5 Relationship of Parties

Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and Aura Bionics Inc.

18.6 Notices

Notices to you may be provided via in-app messaging, email (if provided), or posted on our website. Notices to us should be sent to:

18.7 Language

These Terms are provided in English. If translated into other languages, the English version shall prevail in case of discrepancy.
